1. Introduction
These Licence Terms and Conditions (“Terms”) govern the use of photographs (“Images”) provided by Square Cactus Limited (“Square Cactus”, “we”, “our”, “us”). By purchasing a licence to use our Images, you (“Licensee”, “you”, “your”) agree to comply with these Terms.
2. Licence Types
Square Cactus offers the following types of licences:
- Standard Licence: Permits use of the Image for specified purposes and a limited number of instances.
- Extended Licence: Allows multiple uses of the Image by the same Licensee.
- Commercial Extended Licence: Permits the use of the Image on products intended for resale.
3. Grant of Licence
Upon purchase, Square Cactus grants the Licensee a non-exclusive, non-transferable, revocable licence to use the Images in accordance with the type of licence purchased. The scope of use is defined below:
3.1 Standard Licence
- Permitted Uses: Use the Image in digital media, print media, social media, marketing materials, and personal projects.
- Instances: The Image may be used up to 5 times.
- Prohibited Uses: The Image may not be used on products intended for sale, sublicensed, or redistributed.
3.2 Extended Licence
- Permitted Uses: All uses permitted under the Standard Licence.
- Instances: Unlimited use by the same Licensee.
- Prohibited Uses: The Image may not be sublicensed or redistributed, and may not be used on products intended for sale.
3.3 Commercial Extended Licence
- Permitted Uses: All uses permitted under the Standard and Extended Licences.
- Instances: Unlimited use by the same Licensee.
- Additional Rights: The Image may be used on products intended for resale, including but not limited to, merchandise, apparel, and digital products.
- Prohibited Uses: The Image may not be sublicensed or redistributed.
4. Restrictions
The following restrictions apply to all licence types:
- No Unlawful Use: The Image may not be used in any unlawful manner or for any unlawful purpose.
- No Sublicensing or Redistribution: The Licensee may not sublicense, distribute, or make the Image available for use by others.
- No Alteration: The Image may not be altered, edited, or manipulated in a way that misrepresents the original work, unless explicitly permitted by the licence type.
5. Intellectual Property Rights
All intellectual property rights in the Images remain the property of Square Cactus. The Licensee is granted a licence to use the Images, not ownership.
6. Indemnification
The Licensee agrees to indemnify, defend, and hold harmless Square Cactus from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the use of the Images in a manner that violates these Terms.
7. Termination
Square Cactus reserves the right to terminate the licence at any time if the Licensee breaches any of these Terms. Upon termination, the Licensee must cease all use of the Images and destroy all copies.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
